Structure

Understand your business structure

The Secretary of State handles Iowa LLC formation; the structure and out-of-state status determine the filing. IA-SOS-001

Name

Search the proposed business name

Use the SOS Business Entity Search to research a proposed LLC or corporation name. Fast Track Filing also tests availability during formation; the agency makes the filing decision. IA-SOS-005

State Filing

Complete the applicable Iowa filing

A domestic LLC files a Certificate of Organization for $50; a foreign LLC registration statement is $100. Other entity types have different forms and fees. IA-SOS-002

Federal EIN

Use the shared IRS EIN guidance

Use current IRS guidance to decide whether your business needs an EIN and which application method is available. An EIN is a federal identifier, separate from state formation, licensing and state tax accounts. IRS-EIN-002

The IRS issues EINs free. If forming a legal entity, complete the state formation before applying, as instructed by the IRS. Use the IRS eligibility and responsible-party instructions directly. IRS-EIN-002

State Taxes

Determine Iowa tax-registration needs

The Department of Revenue administers business tax permits; determine which tax accounts apply. IA-DOR-001

Use GovConnectIowa for applicable tax registration; the permit-registration instructions identify the available methods. IA-DOR-002

Licenses and Permits

Check state and local licenses and permits

Determine professional, activity-specific and local licensing for the proposed operation separately from entity filing. IA-SOS-001

Local licenses, zoning and permits depend on the location and activity; verify with the relevant local authority.

Employers

Complete applicable employer registrations and coverage

Employing units register with Iowa Workforce Development within 30 days of first wages to determine UI liability. IA-IWD-001

Unemployment insurance

Use the Iowa Workforce Development official employer UI account route. Liability and special employer categories require a determination for the employing unit. IA-IWD-002

Workers compensation

Most Iowa employers must carry workers compensation liability insurance or register as self-insured; review statutory exceptions. IA-DIAL-001

Registered Agent

Confirm registered-agent requirements

Check the current certificate instructions for the registered-agent and office requirements. IA-SOS-001

Trade Name

Check trade, fictitious or assumed names

For an existing business entity adopting a fictitious name, Fast Track Filing directs an account holder to Business Filings, File A Document, Existing Entities, then Fictitious Name Resolution; search the entity and review and pay. The SOS forms schedule lists a $5 filing fee. Confirm the applicable entity and proposed use. IA-SOS-006, IA-SOS-002

Ongoing Requirements

Track ongoing Iowa requirements

Iowa LLC biennial reports are due in odd-numbered years from January 1 through April 1; the SOS lists $30 online and $45 paper filing fees. Other entity types use different years and fees. IA-SOS-002

Record the applicable deadlines, agency accounts, responsible person and official sources. Review current instructions before filing.

Final Review

Questions to verify before operating

  • Has the correct formation or foreign-authority filing been completed?
  • Which tax accounts, professional or activity licenses and local permits apply?
  • Are employer registration, reporting and coverage ready?
  • Which entity-specific reports and renewals need calendar reminders?
