Structure
Understand your business structure
Colorado SOS provides formation filings for LLCs, corporations and other covered entities, plus forms for foreign authority. CO-SOS-001
Name
Search the proposed business name
Name Availability checks a particular entity name; the Business Database Search shows similar records. Trade names and trademarks are excluded from the availability check; these searches answer different questions. CO-SOS-002
State Filing
Complete the applicable Colorado filing
Use entity-specific articles or other formation documents, or the appropriate foreign-authority filing. Separate trade-name forms exist for individuals, reporting entities and non-reporting entities. CO-SOS-001
Federal EIN
Use the shared IRS EIN guidance
Use current IRS guidance to decide whether your business needs an EIN and which application method is available. An EIN is a federal identifier, separate from state formation, licensing and state tax accounts. IRS-EIN-002
The IRS issues EINs free. If forming a legal entity, complete the state formation before applying, as instructed by the IRS. Use the IRS eligibility and responsible-party instructions directly. IRS-EIN-002
State Taxes
Determine Colorado tax-registration needs
Colorado DOR administers state sales/use and wage-withholding accounts when applicable. Identify taxable activity, employee payments and any home-rule local obligations separately. CO-DOR-001, CO-DOR-003, CO-DOR-004, CO-DOR-005
CR 0100 is the DOR application for applicable sales-tax and wage-withholding accounts; select only the accounts that apply to the business. CO-DOR-003
The state sales-tax license covers state and state-administered taxes; verify home-rule city licensing and collection separately through the local government. CO-DOR-004
Licenses and Permits
Check state and local licenses and permits
Check the Colorado licensing authority for the proposed profession or activity and the city or county for local permits. Formation and tax registration do not complete these separate approvals. CO-DORA-001
Ask each city or county where the business operates about business licensing, zoning, occupancy, home-business and activity-specific permits. Check the responsible state licensing agency as well.
Employers
Complete applicable employer registrations and coverage
CDLE directs employers to the UI account registration route. Determine UI liability and the appropriate account for the actual employer category; separately assess withholding, new-hire reporting and FAMLI obligations. CO-CDLE-001, CO-CDLE-003
The official January 2026 FAMLI bulletin directs employers with Colorado employees, including employers with approved private plans, to update annual employee headcount in My FAMLI+ Employer and post/distribute the required program notice. FAMLI is a separate employer program; verify registration applicability and private-plan/local-government rules for the actual employer category. CO-FAMLI-001
Colorado new hires must be reported within 20 calendar days through the state child-support route; confirm the interactive submission method for the employer. CO-CHILD-001
Unemployment insurance
Use CDLE's employer liability guidance for the applicable general, household, agricultural, nonprofit or governmental category; do not use the workers compensation coverage rule as a UI liability test. CO-CDLE-001
Workers compensation
Colorado employers with employees generally must secure workers compensation coverage. CDLE identifies limited exceptions; confirm any claimed exception with the Division before relying on it. CO-DWC-001
The official rejection search covers construction sole proprietors/partners and qualifying corporate officers or LLC members with at least 10% ownership and participation in management or daily operations. Eligibility and a valid rejection must be confirmed; an owner election does not exempt other employees. CO-DWC-002
Registered Agent
Confirm registered-agent requirements
Use the current registered-agent eligibility, Colorado registered-office and identity/consent instructions. Do not rely on an older template or assume every proposed person is eligible. CO-SOS-004
Trade Name
Check trade, fictitious or assumed names
Select the trade-name statement appropriate to the owner: individual, reporting entity, non-reporting entity or other category. The form list also provides separate renewal instructions; confirm which renewal rule applies. CO-SOS-001
Ongoing Requirements
Track ongoing Colorado requirements
Reporting entities, including LLCs, corporations, nonprofits and covered foreign entities, file a Periodic Report every year. Confirm whether a partnership is a reporting entity rather than applying this universally. CO-SOS-003
The record's summary identifies its report month. Filing is allowed two months before or two months after that month without penalty. Trade-name renewal is a separate process with different entity treatment. CO-SOS-003
Record the applicable deadlines, agency accounts, responsible person and official sources. Review current instructions before filing.
Final Review
Questions to verify before operating
- Has the correct formation or foreign-authority filing been completed?
- Which tax accounts, professional or activity licenses and local permits apply?
- Are employer registration, reporting and coverage ready?
- Which entity-specific reports and renewals need calendar reminders?
Educational Notice
Verify current requirements with the responsible agency
This is general educational navigation, not legal, tax, accounting, employment or licensing advice. NINZ does not submit government applications and is not affiliated with Colorado, the IRS or other government agencies.
Confirm current forms, deadlines, fees and exceptions directly with the responsible agency. A verified general rule does not establish that it applies to every business.
